Course Objective:  To incorporate your business at an affordable price.  This is not merely informational.  You will own an incorporated business by the end of the workshop.

Topics Covered:  

• Guided interview to determine appropriate legal structure
• Review of formation documents (articles & bylaws)
• Review of initial resolutions
• Elect chairperson, directors and officers
• Discuss rules for properly maintaining liability protection
• Outline board procedures
• Review resolution drafting
• Examine multiple roles played within the new company
• Procedures for obtaining Tax ID numbers
• Procedures for filing S-Corp Tax election (we show you what to do, but it is up to you to meet the 60 day deadline)

Not Included:

• Tax and estate planning advice (we advise you seek outside help)
• Corporate Seal (not legally required; available for an extra $75)
• Stock Certificates and Ledgers  (not legally required, available for an extra $75)

Prerequisites:  Although we do not require it, you might wish to take our free seminar designed to answer basic questions about incorporation.  If you decide you want to incorporate, you must fill out an evaluation form before beginning SMART START.  Not all businesses qualify for SMART START.  For instance, multi-owner and non-profit corporations are too complex to cover in our current curriculum.  

Second, although not absolutely required, we strongly urge you to consult with a CPA about the tax implications of incorporating.  This can be done after the before or after the first session.  Although the workshop will provide basic tax information, the advising facilitator is not a tax attorney nor a CPA, and we do not recommend you rely on tax information provided during the workshop.  

Cost:  $595.00
This includes the government filing fee of $155 and our full fee for the workshop.  You must cancel 48 hours in advance of the workshop to receive a full refund.  

Other Important Notes:  You must attend both sessions I & II to complete the incorporation of your business.  Fees will be returned if the class is cancelled, which may occur at our discretion, for example, when there are too few or too many participants registered for a given workshop.
